DUBLIN, Monday 18^th June, 2007: The major e-learning provider ThirdForce plc received full EGM approval today for the $18 million acquisition of Ohio-based MindLeaders Corporation in the United States. Through this development, ThirdForce will target further strategic business growth across North America as the group pursues its objective to become a global player in e-learning. The USA is considered to be the world’s largest e-learning market followed by the UK where ThirdForce also has significant operations.

With complementary e-learning products and leading clients, the combined businesses will provide mutual access to new market development opportunities with annual revenues of over €30 million, based on historic 2006 results. The acquisition will be completed in a cash and share deal following a successful fund-raising.

The fund-raising was over-subscribed and the company decided to increase the value of new shares issued from the original range of €10 – €13 million to a total of €15 million.

ThirdForce is already a major e-learning provider to governments, schools, colleges and commercial organisations in the UK, Ireland, the Middle East and Australia. MindLeaders is a long established and well known brand in the USA with a 25 year track record in personalised learning, offering 2,000 e-learning courses to approximately 850 organisations.
